AGREEMENT TO OUR LEGAL TERMS

Welcome to Careerlista.

Careerlista is an AI-powered career advancement and job-search management platform operated by CyberErrands Solutions Inc. In these Terms, “Careerlista,” “Company,” “we,” “us,” and “our” refer to CyberErrands Solutions Inc., operating as Careerlista.

We operate the website https://careerlista.com, including its applications, browser extensions, artificial intelligence tools, career management solutions, and associated products and services (collectively, the “Services”).

Careerlista helps job seekers discover employment opportunities, optimize résumés, prepare applications, manage job searches, improve interview performance, and advance their careers through AI-assisted tools and personalized services.

These Terms of Service (“Terms”) constitute a legally binding agreement between CyberErrands Solutions Inc. (operating as Careerlista) and any individual accessing or using our Services (“User,” “you,” or “your”).

By creating an account, accessing Careerlista, purchasing a membership, or using any of our Services, you acknowledge that you have read, understood, and agree to these Terms, our Privacy Policy, and our Subscription, Cancellation, Refund & Billing Policy.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST DISCONTINUE USE OF THE SERVICES.

Our Services are intended for individuals aged 18 years or older.

We may update these Terms periodically to reflect changes in our Services, membership offerings, technology, or applicable legal requirements. Updated Terms will be published with a revised Effective Date.

For material changes, we will notify registered users by email or in-app notice at least 30 days before the changes take effect. If you continue to use the Services after that date, you accept the updated Terms. If you do not agree, you may stop using the Services and cancel any recurring subscription before the changes take effect.

1. OUR SERVICES

Careerlista provides an integrated AI-powered career platform designed to help individuals navigate and manage the employment search process.

Our Services may include:

1.1 Career Identity and Professional Profiling

Career DNA™: Analyzes professional experience, qualifications, skills, achievements, and career objectives.
Evidence Vault™: Organizes professional accomplishments, certifications, employment history, and supporting career information.

1.2 Job Discovery and Matching

Job Radar™: Discovers employment opportunities based on user-defined criteria and career objectives.
RoleMatch™: Evaluates alignment between a user’s qualifications and specific job opportunities.
Advanced Job Intelligence: Provides insights into job requirements, employer expectations, and potential suitability.

1.3 Résumé and Application Optimization

Recruiter Resume™: Assists with creating and improving job-specific résumés.
ATS Check™: Evaluates résumé content against common Applicant Tracking System requirements.
Recruiter Check™: Provides AI-assisted résumé assessments from a recruiter-oriented perspective.
ApplyReady™: Helps prepare job applications for user review.
Smart Apply™: Supports supervised application preparation, form completion, and submission workflows where available.

1.4 Career Management and Performance Tracking

Career Pipeline™: Tracks job applications, interviews, employer communications, and application outcomes.
Application Pace™: Helps users establish and monitor weekly application targets.
Career Pulse™: Provides career-search insights, progress tracking, and performance analytics.

1.5 Interview Preparation

Interview Academy™: Provides structured interview training and preparation resources.
Interview Room™: Offers AI-assisted interview practice and feedback.
Scenario Lab™: Simulates situational, behavioural, and role-specific interviews.
Story Bank™: Helps users organize professional accomplishments into interview-ready examples.
Recall Cards™: Supports learning, active recall, and interview preparation.
Company Brief™: Provides employer-specific research and preparation materials.

1.6 Professional Branding

LinkedIn Edge™: Assists with LinkedIn profile improvement.
Authority Studio™: Supports professional content and thought-leadership development.
Executive Brand™: Provides advanced career positioning and executive branding capabilities.

1.7 Personalized Career Services

Careerlista may provide Concierge Career Services, including résumé assistance, career strategy, LinkedIn optimization, interview coaching, and additional professional support.

Features, usage limits, and service availability depend on the membership purchased.

Careerlista may introduce, modify, replace, or discontinue individual features as the platform evolves.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 Careerlista Ownership

All intellectual property rights associated with Careerlista belong to CyberErrands Solutions Inc. or its authorized licensors.

These rights include:

Software applications, algorithms, and source code.
Artificial intelligence workflows and proprietary models.
Career assessment and matching methodologies.
Website designs, interfaces, graphics, and databases.
Product names, trademarks, logos, and branding.
Educational materials, templates, and proprietary content.

The Careerlista name and associated product identities are protected to the extent provided by applicable intellectual property laws.

2.2 Limited License

Subject to your compliance with these Terms, Careerlista grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal career development and lawful employment-related purposes.

You may download, save, and use résumés, cover letters, interview preparation materials, and other personalized documents generated through your account, as described in Section 9.4.

This license does not transfer ownership of Careerlista’s underlying software, proprietary technologies, methodologies, or intellectual property.

2.3 Restrictions

Without prior written authorization, users may not:

Copy, reproduce, resell, or commercially exploit Careerlista software or proprietary content.
Reverse engineer or attempt to extract source code or proprietary AI workflows.
Replicate Careerlista’s subscription-based services for unauthorized commercial distribution.
Remove proprietary ownership notices.
Use Careerlista technology to build or operate a competing platform through unauthorized extraction or copying.

Careerlista reserves all rights not expressly granted under these Terms.

3. USER REPRESENTATIONS

By accessing Careerlista, you represent and warrant that:

You are at least 18 years old.
You have the legal capacity to enter into these Terms.
The information you provide is accurate and current.
You will maintain the confidentiality of your login credentials.
You will use the Services only for lawful purposes.
You will not submit fraudulent qualifications, employment history, or professional credentials.
You will not use Careerlista to impersonate another individual or misrepresent your identity.
You will comply with applicable employment, privacy, intellectual property, and consumer protection laws.

Careerlista may suspend or terminate accounts associated with fraudulent activity, material misrepresentation, or violations of these Terms.

4. USER REGISTRATION AND ACCOUNT SECURITY

Certain Careerlista features require account registration.

You agree to provide accurate registration information and maintain the security of your account credentials.

You are responsible for activity conducted through your account, except where unauthorized activity results from circumstances for which Careerlista is legally responsible.

Each individual membership is intended for use by the registered account holder.

Account sharing, unauthorized resale of membership access, and commercial redistribution of subscription privileges are prohibited.

Careerlista may implement authentication, account verification, usage monitoring, and security controls to protect users and the platform.

You must promptly notify Careerlista if you suspect unauthorized access to your account.

5. PURCHASES AND PAYMENT

Careerlista offers free and paid memberships, including subscription-based and one-time purchase options.

Additional premium services, optional add-ons, or application credits (such as Auto Apply credits, when available) may be offered separately at the price displayed before checkout.

5.2 Payment Authorization

By purchasing a paid membership, you authorize Careerlista and its authorized payment processors to charge your selected payment method for applicable membership fees, taxes, and approved purchases.

You agree to maintain valid and accurate payment information.

5.3 Payment Processing

Careerlista may use Stripe or other authorized payment service providers to securely process transactions.

All charges are presented in United States dollars (USD), unless otherwise indicated at checkout.

Applicable taxes and additional charges will be disclosed before payment confirmation.

5.4 Pricing Changes

Careerlista reserves the right to modify membership prices, introduce new plans, or adjust service offerings.

Price changes do not apply to a membership period you have already paid for.

For Monthly subscriptions, a price change takes effect at the first renewal after we have given you notice in accordance with applicable law. You may cancel before the new price applies.

6. SUBSCRIPTIONS, RENEWALS, AND CANCELLATIONS

6.1 Free Membership

Careerlista’s Free Membership allows users to access selected career tools subject to applicable usage limits.

Free Membership does not require a credit card or recurring payment.

6.2 Career Accelerator — Monthly

The Monthly Plan is billed at US$69 per month.

Your subscription renews automatically until cancelled.

By purchasing this plan, you authorize Careerlista to charge your designated payment method at each renewal.

6.3 Career Accelerator — 90 Days

The 90-Day Plan provides 90 consecutive days of Career Accelerator access for a one-time payment of US$89.

This membership does not automatically renew.

At the end of the 90-day period, paid access expires unless another membership is purchased.

6.4 Concierge Career Service

The Concierge Career Service is offered as a one-time purchase of US$999.

The service includes personalized career support and 90 days of Career Accelerator access, starting on the date of purchase. Personalized services are delivered under the service terms agreed at purchase.

This purchase does not automatically renew.

6.5 Cancellation

Monthly subscribers may cancel their membership through Account → Plan & Usage → Manage billing.

Cancellation prevents future subscription renewals and takes effect at the end of the current paid billing period.

At expiration, the account reverts to the Free Membership tier.

The 90-Day Plan and the Concierge Career Service do not renew, so no cancellation is needed to prevent future charges. Concierge cancellation requests may be submitted to support@careerlista.com.

Stopping use of the Services or deleting the app does not cancel a Monthly subscription. You must cancel through Account → Plan & Usage → Manage billing to stop renewal charges.

6.6 Refunds

Refund eligibility, processing, and conditions are governed by Careerlista’s Subscription, Cancellation, Refund & Billing Policy.

Refund requests may be submitted to support@careerlista.com.

Cancellation alone does not automatically result in a refund.

7. ARTIFICIAL INTELLIGENCE AND AUTOMATED SERVICES

7.1 AI-Assisted Functionality

Careerlista uses artificial intelligence, automated workflows, data analysis, and career-related algorithms to deliver personalized employment assistance.

AI-powered features may analyze information supplied by users, including résumés, job descriptions, qualifications, career preferences, and interview responses.

7.2 AI-Generated Content

Careerlista may generate or recommend:

Résumé improvements.
Cover letters and application responses.
Job suitability assessments.
Interview questions and feedback.
Career development recommendations.
Professional branding materials.
Employment application preparation.

Users retain responsibility for reviewing the accuracy and suitability of AI-generated content before using or submitting it.

7.3 Accuracy and Professional Representation

AI-generated recommendations are intended to support career decision-making.

Careerlista does not independently certify the accuracy of every generated recommendation or guarantee compatibility with every employer’s recruitment system.

Users must ensure that submitted employment information truthfully reflects their qualifications and experience.

7.4 Human Oversight

Careerlista supports human oversight of AI-assisted application workflows.

Unless you have enabled automated submission under Section 7.5, applications are not submitted to employers without your review and approval.

7.5 Automated Job Applications

Where enabled, Smart Apply and associated tools may assist users with application completion and submission.

If you enable automated submission, you authorize Careerlista to submit applications that match the criteria, documents, answers, and permissions you have approved, without separate approval for each application. You may turn automated submission off at any time through your account settings.

Users remain responsible for the information submitted to employers and for monitoring application outcomes.

8. PROHIBITED ACTIVITIES

You agree not to use Careerlista in any manner that interferes with platform security, infringes third-party rights, or violates applicable laws.

Prohibited activities include:

Accessing another user’s account without authorization.
Submitting deliberately fraudulent employment credentials.
Uploading malicious code, viruses, or harmful software.
Attempting to bypass membership restrictions or payment controls.
Scraping or systematically extracting Careerlista’s proprietary databases without authorization.
Reverse engineering Careerlista software or AI systems.
Using automated tools to disrupt platform operations.
Impersonating employers, recruiters, or job applicants.
Conducting unauthorized commercial resale of Careerlista services.
Harassing users, employees, recruiters, or other individuals through the platform.
Using Careerlista to distribute unlawful or misleading materials.
Circumventing authentication, account protection, or usage limitations.
Using Careerlista’s application tools to generate spam or abusive application traffic.
Using another person’s professional information without appropriate authorization.

Careerlista reserves the right to investigate suspected violations and take appropriate corrective action, including limiting access or suspending accounts.

9. USER CONTENT AND PROFESSIONAL INFORMATION

9.1 User-Provided Content

Careerlista allows users to upload or provide professional information, including:

Résumés and cover letters.
Employment history.
Education and certifications.
Professional skills and achievements.
LinkedIn profile information.
Interview responses.
Portfolio materials.
Career goals and job preferences.

You retain ownership of the information and original materials you provide.

9.2 Permission to Process Information

By uploading content, you grant Careerlista a limited, non-exclusive license to host, store, process, analyze, transform, and display that content for the purpose of providing the Services.

This permission includes using authorized technology providers and AI processing systems to deliver requested features.

This license ends when you delete the content or your account, except for copies kept in operational backups or security records, or as required by law, which are handled as described in the Privacy Policy.

9.3 User Responsibility

You represent that you have the necessary rights and permissions to upload and use the information submitted through your account.

You are responsible for the accuracy, legality, and completeness of your professional materials.

9.4 Generated Career Materials

As between you and Careerlista, you own the résumés, cover letters, interview materials, and other career documents generated for you through your account. You may download, edit, and use them for your own career-related purposes.

Careerlista retains ownership of its underlying templates, proprietary tools, software, and methodologies. Your ownership of generated documents does not give you rights to reuse those templates or tools outside the Services.

10. THIRD-PARTY ACCOUNTS AND INTEGRATIONS

Careerlista may integrate with third-party platforms and services, including:

LinkedIn.
Employment and recruitment websites.
Applicant Tracking Systems.
Employer career portals.
Google and Microsoft services.
Payment processing providers.
AI technology providers.

Certain features may require users to authorize connections to external accounts or services.

By enabling an integration, you authorize Careerlista to access and process the information necessary to perform the selected functionality, subject to the permissions granted.

Third-party services remain governed by their respective terms, privacy policies, and operating requirements.

Users may disconnect supported integrations through available account controls.

Careerlista may restrict or discontinue integrations when required by technical, contractual, legal, or security considerations.

11. JOB SEARCH AND EMPLOYMENT DISCLAIMER

Careerlista provides technology-enabled job-search assistance, career preparation, application management, and optional professional career services.

Careerlista is not an employer, recruitment agency, or hiring authority solely by virtue of providing these Services.

Careerlista does not control employer recruitment decisions.

Purchasing a Careerlista membership does not guarantee employment, an interview invitation, recruiter engagement, a particular salary, or a job offer.

Employment outcomes depend on factors including qualifications, job-market conditions, employer requirements, application quality, competition, and hiring decisions.

Users are responsible for reviewing job opportunities and independently assessing their suitability.

12. THIRD-PARTY WEBSITES AND JOB LISTINGS

Careerlista may display or link to job opportunities, employer websites, recruitment portals, and other external resources.

These listings may originate from third-party providers or publicly available employment sources.

Careerlista does not own or control third-party job postings.

Job availability, compensation, requirements, hiring timelines, and application procedures may change without notice.

Users should verify material employment information directly with the relevant employer or authorized recruiter.

Careerlista may remove listings that appear fraudulent, misleading, expired, or otherwise inappropriate.

13. SERVICES MANAGEMENT

Careerlista reserves the right to manage and protect its Services, including by:

Monitoring activity for violations of these Terms.
Enforcing account and membership limitations.
Restricting access to fraudulent or abusive accounts.
Maintaining system security.
Performing technical maintenance.
Improving platform reliability and performance.
Modifying features and service availability.
Responding to lawful requests from competent authorities.

We may implement reasonable usage controls, rate limits, and safeguards necessary to maintain the performance and integrity of the Services.

14. PRIVACY AND DATA PROTECTION

Careerlista respects the privacy of its users and processes personal information in accordance with its Privacy Policy and applicable laws.

Information processed through the Services may include:

Account registration details.
Professional profile information.
Résumés and career documents.
Job-search preferences and activity.
Interview practice responses.
Subscription and transaction information.
Technical usage and security information.

Careerlista may engage authorized service providers to support cloud hosting, payment processing, analytics, artificial intelligence, and related platform functionality.

Personal information will be handled according to the purposes, permissions, retention practices, and rights described in the Privacy Policy.

15. COPYRIGHT INFRINGEMENT

Careerlista respects the intellectual property rights of others.

If you believe that content available through Careerlista infringes your copyright or other intellectual property rights, you may submit a written notice to:

Your notice should identify the disputed content, describe your ownership interest, and provide sufficient information for Careerlista to investigate the matter.

Careerlista may remove infringing material and restrict accounts associated with repeated violations.

16. TERM AND TERMINATION

These Terms remain effective for as long as you access or use Careerlista.

You may discontinue use of the Services at any time. To stop Monthly renewal charges, you must also cancel your subscription as described in Section 6.5.

Careerlista may suspend, restrict, or terminate access where an account is associated with:

Material violations of these Terms.
Fraudulent or unlawful activity.
Unauthorized commercial exploitation.
Security threats.
Repeated abuse of platform functionality.
Conduct that materially harms the Services or other users.

Termination may result in the loss of access to paid features and account functionality.

If Careerlista terminates your paid membership for reasons other than your breach of these Terms, or permanently discontinues a paid Service you have prepaid for, Careerlista will refund the unused portion of that prepaid membership period on a pro-rated basis.

Any outstanding financial obligations, accrued rights, and provisions intended to survive termination will remain enforceable to the extent permitted by applicable law.

17. MODIFICATIONS AND SERVICE AVAILABILITY

Careerlista continuously develops its technology and may introduce improvements, new functionality, or changes to existing Services.

We reserve the right to update, modify, suspend, replace, or discontinue platform features.

Careerlista may experience temporary interruptions resulting from scheduled maintenance, technical failures, network availability, or third-party service disruptions.

We make reasonable efforts to maintain reliable access but do not guarantee uninterrupted availability.

Material changes affecting paid membership benefits will be addressed in accordance with applicable laws and contractual obligations.

18. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the applicable laws of the Province of Ontario and the federal laws of Canada applicable therein.

Subject to mandatory consumer protection laws and other applicable legal requirements, disputes arising from these Terms shall be subject to the jurisdiction of the competent courts of Ontario, Canada.

19. DISPUTE RESOLUTION

19.1 Informal Resolution

Careerlista encourages users to contact our support team before initiating formal legal proceedings.

Users may submit complaints or disputes to:

Both parties agree to make reasonable efforts to resolve disputes through good-faith communication.

19.2 Formal Proceedings

If a dispute cannot be resolved informally, either party may pursue the remedies available under applicable law.

Nothing in these Terms excludes rights or protections that cannot legally be waived.

20. CORRECTIONS AND UPDATES

Careerlista may correct typographical errors, inaccuracies, omissions, or outdated information appearing on the platform.

This may include corrections to:

Product descriptions.
Membership information.
Feature availability.
Job listing details.
Educational content.
Pricing displays.
Technical documentation.

Careerlista reserves the right to make corrections and publish updated information.

21. DISCLAIMER OF WARRANTIES

Careerlista provides its Services on an “AS IS” and “AS AVAILABLE” basis, to the maximum extent permitted by applicable law.

While we strive to provide accurate, reliable, and useful career assistance, we do not warrant that:

Every AI recommendation will be accurate or suitable for every employment opportunity.
Every résumé will successfully pass an employer’s Applicant Tracking System.
All job listings will remain available.
All third-party integrations will function without interruption.
Employers will respond to applications.
Careerlista use will result in employment or career advancement.

Careerlista’s guidance is intended to assist user decision-making and does not replace independent professional judgment.

22. LIMITATIONS OF LIABILITY

To the maximum extent permitted by applicable law, Careerlista, CyberErrands Solutions Inc., and their respective directors, officers, employees, agents, and service providers shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Services.

This includes claims relating to lost employment opportunities, anticipated earnings, business interruption, or third-party recruitment decisions.

To the extent permitted by law, Careerlista’s aggregate liability arising from or relating to the Services shall not exceed the greater of (a) the amount you paid to Careerlista during the twelve months preceding the event giving rise to the claim, or (b) US$100.

Nothing in these Terms limits liability that cannot lawfully be excluded or restricted.

23. INDEMNIFICATION

You agree to indemnify and hold harmless Careerlista, CyberErrands Solutions Inc., and their respective officers, employees, and authorized representatives against third-party claims, losses, and reasonable expenses arising from:

Your unlawful use of the Services.
Your material breach of these Terms.
Your infringement of third-party intellectual property rights.
Fraudulent or deliberately misleading information submitted through your account.
Unauthorized use of another individual’s personal or professional information.

This obligation applies to the extent permitted by applicable law.

24. USER DATA AND ACCOUNT INFORMATION

Careerlista stores and processes information necessary to provide its Services.

This may include career profiles, uploaded documents, generated résumés, job application records, interview preparation history, and platform activity.

We may maintain operational backups, technical logs, and security records to support system reliability and lawful business operations.

Users may manage their account information and exercise applicable privacy rights in accordance with Careerlista’s Privacy Policy.

When a paid membership ends, your account returns to the Free Membership tier and your saved career information remains available, subject to Free Membership usage limits and Careerlista’s data retention practices described in the Privacy Policy.

Users are encouraged to maintain copies of important career documents.

25. ELECTRONIC COMMUNICATIONS AND TRANSACTIONS

By using Careerlista, you consent to receiving electronic communications relating to your account and use of the Services.

These communications may include:

Account verification messages.
Subscription confirmations.
Billing receipts.
Security notifications.
Job-search activity alerts.
Application status notifications.
Service updates.
Important legal and policy notices.

You agree that electronic agreements, acknowledgements, and transaction records may satisfy applicable legal requirements for written communications and electronic consent.

Marketing communications will be managed in accordance with applicable consent and unsubscribe requirements.

26. INTERNATIONAL USERS

Careerlista may be accessed by users in Canada, the United States, and other jurisdictions where the Services are available.

Users are responsible for ensuring that their use of Careerlista complies with applicable local laws.

Certain features may differ based on geographic location, technical availability, third-party restrictions, or regulatory requirements.

Nothing in these Terms removes mandatory legal rights available to consumers in their jurisdiction.

27. MISCELLANEOUS

These Terms, together with Careerlista’s Privacy Policy, Subscription, Cancellation, Refund & Billing Policy, and any applicable Concierge service agreement, constitute the agreement between Careerlista and the user regarding use of the Services.

If these documents conflict:

On billing, renewals, cancellations, and refunds, the Subscription, Cancellation, Refund & Billing Policy governs.
On the scope or delivery of personalized Concierge services, the Concierge service agreement governs.
On the handling of personal information, the Privacy Policy governs.
In all other matters, these Terms govern.

If any provision is found invalid or unenforceable, the remaining provisions shall continue in effect.

Careerlista’s failure to enforce a provision does not constitute a waiver of its right to enforce that provision later.

Careerlista may assign its rights and obligations in connection with a lawful business transfer, restructuring, merger, or acquisition.

No employment, partnership, joint venture, or agency relationship is created between Careerlista and users solely through use of the Services.

28. RESPONSIBLE USE OF CAREERLISTA

Careerlista is intended to empower individuals to conduct more effective, organized, and informed job searches.

Users agree to use the platform responsibly and in accordance with professional and ethical standards.

28.1 Accurate Employment Information

Users must ensure that résumés, cover letters, professional profiles, and employment applications accurately represent their qualifications and experience.

28.2 Responsible AI Use

AI-generated content must be reviewed before submission to employers or publication on professional platforms. Where you enable automated submission under Section 7.5, you meet this requirement by reviewing and approving the résumés, profile content, answers, and criteria that automated submissions will use.

Careerlista must not be used to fabricate qualifications, impersonate others, or intentionally mislead employers.

28.3 Responsible Application Automation

Users agree to use application automation responsibly and in compliance with applicable employer requirements and third-party platform rules.

Careerlista may impose reasonable controls on application volume, submission frequency, and automation activities.

28.4 Individual Membership Use

Individual memberships are intended for personal career advancement.

Career coaches, recruiters, résumé writers, and other employment professionals seeking to use Careerlista for multiple clients must obtain an appropriate commercial arrangement or authorization.

28.5 Platform Integrity

Users must not engage in activities that compromise Careerlista’s technical infrastructure, proprietary data, account security, or availability to others.

Careerlista may restrict or terminate access for repeated or serious violations.
